By accessing or using our services, you agree to be bound by these Terms.
1. DESCRIPTION OF SERVICES
Our platform serves as a healthcare management and matchmaking service that connects families, seniors, and healthcare facilities with vetted healthcare professionals (such as nurses, personal support workers, and medical transportation providers). We provide software tools to facilitate scheduling, communication, and care management.
MEDICAL DISCLAIMER: We are a technology and staffing platform, not a direct medical provider. Our services and platform content do not constitute professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition. In case of a medical emergency, immediately call 911 (or your local emergency number).
2. USER OBLIGATIONS
A. Healthcare Professionals & Candidates
By registering as a healthcare professional, you warrant that all information, credentials, certifications, and background checks submitted are accurate, current, and legally valid in your practicing jurisdiction (within the USA or Canada). You agree to maintain active certification for the duration of your use of the platform.
B. Care Seekers & Facilities
By requesting care or staffing services, you agree to provide accurate information regarding patient needs, facility requirements, and medical history. You are responsible for providing a safe environment for healthcare professionals dispatched to your location.
3. PRIVACY AND DATA SECURITY
The protection of your Protected Health Information (PHI) and personal data is our highest priority. Your use of the platform is subject to our Privacy Policy. We adhere to applicable regional regulations, including the Health Insurance Portability and Accountability Act (HIPAA) in the United States and the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada.
4. PAYMENTS AND BILLING
Fees for care services, staffing, or platform subscriptions will be clearly communicated before any binding agreement is made. By providing a payment method, you authorize us (or our third-party payment processors) to charge the applicable fees. All payments are non-refundable unless expressly stated otherwise in a separate service agreement.
5. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the platform; (b) any conduct or content of any third party on the platform, including the quality of care provided by independent professionals.
6. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless our company, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the platform; (b) your violation of any term of these Terms; or (c) your violation of any third-party right, including without limitation any privacy or medical confidentiality right.
7. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and applicable federal laws of Canada and the United States, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or provincial courts located in Ontario.
8. MODIFICATIONS TO TERMS
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our platform after those revisions become effective, you agree to be bound by the revised terms.
